Terms and conditions for selling on Kylee

These Seller Terms ("Seller Terms") govern your use of Kylee.io's (the "Service") seller and monetization features. They supplement our general Terms & Conditions and Content Rules. If there is a conflict between these Seller Terms and the general Terms, the general Terms control unless these Seller Terms explicitly state otherwise.

By applying to become a seller or listing products on Kylee, you agree to be bound by these Seller Terms.

1) Eligibility & Application

  • Selling on Kylee requires an approved seller application. Submitting an application does not guarantee acceptance.
  • Applications are reviewed by the Kylee team. We reserve the right to approve, reject, or request additional information at our sole discretion.
  • You must be at least 18 years of age and legally permitted to enter into binding agreements in your jurisdiction.
  • You may only operate one seller account. Duplicate or circumvention accounts will be permanently banned.
  • Approved sellers who have been inactive (no listed products, no sales) for an extended period may have their seller status reviewed.

2) Commission Tiers

Kylee charges a commission on each sale. Your commission rate depends on your current tier, which is determined by your sales history. There are three tiers:

2.1 How Tiers Work

  • All new sellers start at the Starter tier (30% commission).
  • To qualify for a higher tier, you must meet all of the listed thresholds simultaneously (gross sales, completed orders, and account age).
  • Tiers are evaluated automatically on a nightly basis. You do not need to apply for an upgrade.
  • Tier upgrades are one-directional — your tier will never be automatically downgraded. Once you reach Plus or Pro, you keep it unless your account is terminated or your tier is frozen due to a policy violation.
  • Refunded orders are excluded from gross sales and order count calculations.

2.2 Commission Rate Snapshot

The commission rate applied to each sale is locked at the time of purchase. If your tier changes after a sale is made, the original rate still applies to that order. This ensures both you and the buyer have a clear, immutable record of the fee structure for every transaction.

3) Disputes & Chargebacks

Kylee monitors dispute and chargeback activity to protect buyers and maintain platform integrity.

Dispute Rate Threshold: Sellers must maintain a dispute rate below 1% over a rolling 60-day window. The dispute rate is calculated as the number of dispute events divided by the number of completed orders in the same period.

Minimum Sample Size: The percentage threshold is only evaluated once you have at least 25 completed orders within the rolling window. Below that threshold, only the presence of any open disputes is considered.

  • If your dispute rate exceeds the threshold, your tier upgrades will be frozen. You will remain at your current tier but will not be eligible for promotion until the dispute rate falls back below the threshold.
  • Tier freezes are reviewed by the Kylee team. You will be notified if your tier is frozen and given the reason.
  • Persistent or severe dispute activity may result in additional action, including account suspension or termination, at Kylee's sole discretion.
  • Kylee may reverse, hold, or recover payouts if we identify fraud, unlawful activity, chargebacks, or policy violations, as described in our general Terms & Conditions.

4) Payouts & Taxes

  • Payments are processed by third-party payment processors. Their terms and conditions apply in addition to these Seller Terms.
  • Payouts are subject to minimum payout thresholds, processing delays, and applicable holds as described in your seller dashboard.
  • Kylee and/or its payment processors may hold funds, apply reserves, or delay payouts to manage fraud risk and comply with applicable law.
  • You are solely responsible for all taxes related to your earnings, including income tax, sales tax, VAT, and any other applicable taxes in your jurisdiction. Kylee does not withhold taxes on your behalf unless required by law.
  • Kylee may issue tax reporting documents (e.g., 1099 forms for US-based sellers) as required by applicable law. You are responsible for providing accurate tax information when requested.

5) Product Listing Requirements

  • All products are subject to admin approval before they appear on the marketplace. Submitting a product does not guarantee it will be listed.
  • Products must comply with Kylee's Content Rules at all times. This applies to product titles, descriptions, preview images, and downloadable files.
  • You must be the original creator or have full legal rights to sell the content you list. Reselling stolen, plagiarized, or unauthorized derivative works is strictly prohibited.
  • AI-generated content must be clearly disclosed as such. Misrepresenting AI-generated work as human-made is a violation of our AI Statement and Content Rules.
  • Product prices are set by you in USD. Kylee reserves the right to enforce minimum or maximum price limits.
  • Kylee may remove, delist, or disable any product at any time for any reason, including but not limited to policy violations, legal concerns, or quality standards.

6) Refunds

Due to the nature of digital downloadable products, Kylee does not offer buyer self-service refunds. For full details, see our Refunds & Cancellations policy.

  • Refunds may only be issued by Kylee administrators in special circumstances (e.g., duplicate purchases, unresolvable technical issues, or policy violations).
  • When an admin refund is issued, the full seller revenue for the affected order item is reversed. You will not receive payout for refunded items.
  • Refunded orders are excluded from your tier calculations (both gross sales and completed order count), ensuring your tier status accurately reflects valid, non-refunded sales.
  • Admin refund decisions are final and not subject to appeal.

7) Content Violations & Account Termination

Zero-Tolerance Policy

Kylee enforces a zero-tolerance policy for content violations. Any product that violates our Content Rules will be immediately removed and your seller privileges will be permanently revoked. There are no warnings for content violations.

  • Kylee may suspend or terminate your seller account at any time if we determine, at our sole discretion, that you have violated these Seller Terms, the general Terms, the Content Rules, or applicable law.
  • Upon termination, any pending payouts may be held, reversed, or forfeited depending on the nature of the violation.
  • Terminated sellers may not re-apply or create new accounts without express written permission from Kylee.
  • In addition to content violations, seller accounts may be terminated for persistent dispute threshold breaches, fraud, abuse of the platform, or any other behavior that Kylee deems harmful to the community.

8) Changes to These Terms

Kylee reserves the right to modify these Seller Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you via email or through the platform.

Your continued use of seller features after the updated terms take effect constitutes your acceptance of the changes. If you do not agree to the updated terms, you must stop using seller features and may request closure of your seller account.
